Terms of Service

These terms govern access to the Arena Operating System website at arenaos.ca and the Arena Operating System application at app.arenaos.ca (together, "Arena OS"), provided by Arena Group Inc. ("we", "us"), a company incorporated in British Columbia, Canada.

By using Arena OS you agree to these terms. If you are agreeing on behalf of a company, you confirm you have the authority to bind that company.

1. Separate written agreements take precedence

Arena OS is provided to customer organizations under a separate written agreement covering the services, the commercial terms, and the term of engagement.

Where such an agreement exists between us and your organization, that agreement controls. These terms apply only to the extent they are not inconsistent with it, and govern general use of the website and the application by anyone who accesses them.

These terms do not set out pricing, service levels, or the scope of any engagement. Those are agreed separately.

2. The service

Arena OS is a hosted web application that helps a company plan its work, record and review business measures, assign responsibility for them, and manage the follow-up that results.

Accounts are set up by us directly. Arena OS is not available through self-service signup.

We may change, improve, or discontinue features. Where a change materially reduces functionality for an active customer, we will give reasonable notice.

3. Accounts and access

Your organization is responsible for who it grants access to and for what is done under those accounts.

You must provide accurate account information, keep your credentials secure, and tell us promptly if you believe an account has been compromised. Access is granted to named individuals and credentials are not to be shared.

4. Your data

Your organization owns its data. Information entered into Arena OS remains your organization's property. We do not claim ownership of it.

We use it only to provide the service, as described in our Privacy Policy.

You are responsible for having the right to enter the information you put into Arena OS, including any personal information about your people.

Data export is available on request while your account is active.

5. Acceptable use

You agree not to:

use Arena OS to break the law or infringe anyone's rights

attempt to access another organization's data

probe, scan, or test the security of the service without our written permission

reverse engineer, decompile, or copy the software

resell or provide access to third parties without our agreement

upload malicious code or interfere with the operation of the service

We may suspend access where we reasonably believe these terms are being broken and there is a risk to the service or to other customers.

6. Third-party integrations

Arena OS can connect to third-party services, including Google Calendar and Google Tasks. These connections are optional.

Third-party services are governed by their own terms and privacy policies, not by these terms. We are not responsible for their availability, accuracy, or conduct. If a third party changes or withdraws its service, we may have to change or remove the corresponding feature.

7. Availability and support

We aim to keep Arena OS available and to resolve faults promptly. We do not guarantee uninterrupted service. Maintenance, third-party outages, and events outside our control can interrupt availability.

Any service commitment applicable to your organization is set out in your separate written agreement.

8. Confidentiality

Each party will keep the other's confidential information confidential and use it only as needed to perform under these terms. This does not apply to information that is public, already known to the receiving party, independently developed, or required to be disclosed by law.

9. Intellectual property

We own Arena OS and all associated intellectual property, including the software, its design, its documentation, and the underlying methods and materials.

Subject to your organization's agreement with us, you are granted a non-exclusive, non-transferable right to use Arena OS during the term of that agreement, for your organization's own internal business purposes. Nothing in these terms transfers ownership of anything to you.

Feedback you give us about the product may be used freely and without obligation.

10. Disclaimers

Arena OS is provided "as is". To the extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Arena OS is a management tool, not professional advice. It does not provide legal, accounting, tax, financial, or employment advice. Decisions you make using information in Arena OS are your own. Figures shown in Arena OS depend on the data entered and the definitions configured, and are not a substitute for your accounting records.

11. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.

Any cap on our total liability is as set out in your organization's separate written agreement with us. Where no such agreement exists, our total liability arising out of or relating to these terms is limited to CAD $100.

Nothing in these terms limits liability that cannot be limited by law.

12. Indemnity

You will indemnify us against claims arising from use of Arena OS in breach of these terms, or from data entered into Arena OS that you did not have the right to use.

13. Changes to these terms

We may update these terms. Where a change is material we will give notice to customer organizations and update the date at the top of this page. Continued use after a change takes effect means you accept it.

14. Governing law

These terms are governed by the laws of British Columbia and the federal laws of Canada that apply there. The courts of British Columbia have exclusive jurisdiction.

15. General

If any provision is found unenforceable, the rest remains in force. Neither party's failure to enforce a provision waives it. You may not assign these terms without our written consent.
